ジンヴィ・ジャパン合同会社（以下「会社」といいます。）は、次の条件に従い自社製品を販売します。
The following are the terms and conditions by which ZimVie Japan G.K. (“ZimVie”) sells its products:
1. 適用条件／GOVERNING TERMS
製品の発送は全て、本取引条件（以下「本条件」といいます。）に従い行われるものとみなします。購入者から提示された条件は全て、本条件と矛盾しているか否かにかかわらず、認められません。
Any shipment of products shall be deemed to be on the terms and conditions stated herein (the "Terms of Sale"). Any and all terms and conditions submitted by Purchaser, whether or not conflicting with these Terms of Sale, are hereby rejected.
2. 税金／TAXES
本条件に定める価格には、製品の販売、使用又は引渡しに課される付加価値税、売上税、使用税、消費税、物品税、関税、従価税、経済活動調整税、財産税、その他税金又は課徴金が含まれておらず、これらは全て、購入者が会社に別途又は場合に応じて契約価格に上乗せして支払うものとします。
The prices set forth herein do not include any value-added, sales, use, consumption, excise, customs duties, ad valorem, regulatory, property or other taxes, duties or charges applicable to the sale, use or delivery of the product, all of which shall be paid by Purchaser separately or added to the contract price and paid by Purchaser to ZimVie, as applicable.
3. 価格／PRICES
製品の定価は日本円建てとします。会社が公表した価格又は会社の代表者の見積価格は全て、いつでも予告なく変更されることがあります。会社又はその代表者の全ての見積価格の有効期間は、書面に別段の記載のない限り、30日間とします。製品の価格は全て会社が定めるものとし、価格の特定又は見積りがなされていない場合には、出荷時に有効な会社の指定価格とします。価格は、会社の当初価格見積りに含まれていない仕様書、数量、原料、製造原価、発送手配又はその他の条件により、変更されることがあります。
The prices set forth for the products are in Japanese Yen. All prices published by ZimVie or quoted by ZimVie's representatives may be changed at any time without notice. All prices quoted by ZimVie or ZimVie's representatives are valid for thirty (30) days, unless otherwise stated in writing. All prices for products will be as specified by ZimVie or, if no price has been specified or quoted, will be ZimVie's price in effect at the time of shipment. All prices are subject to adjustment on account of specifications, quantities, raw materials, cost of production, shipment arrangements or other terms or conditions which are not part of ZimVie's original price quotation.
4. リベート及び割引／REBATES AND DISCOUNTS
請求書には、購入者向け製品の正味費用が反映されていないことがあります。購入者は、会計及びリベート又は割引の適用に関する全ての適用法令を遵守するものとします。これらには、不当景品類及び不当表示防止法、医療用医薬品業、医療機器業及び衛生検査所業における景品類の提供の制限、医療機器業における景品類の提供の制限に関する公正競争規約、また、贈収賄に関しては、刑法、不正競争防止法、場合により米国の海外腐敗行為防止法、並びにその他地方自治体の法令が含まれますが、これらに限られません。本条件に基づく価格設定は、製品購入時に割引が行われることがあり、適用法又は契約に従い、これを適切に報告し、反映しなければなりません。
The invoice may not reflect the net cost of products to the Purchaser. Purchaser will comply with all applicable laws and regulations relating to the accounting and application of rebates or discounts, including but not limited to the Act Against Unjustifiable Premiums and Misleading Representations, the Restrictions on Premium Offers in the Ethical Drugs Industry, Medical Devices Industry, and Hygienic Inspection Laboratory Industry and the Fair Competition Code Concerning Restriction on Premium Offers in the Medical Devices Industry, and relating to the bribery including the Penal Code, Unfair Competition Prevention Act, and FCPA of the U.S. as applicable, and any other local government laws and regulations. Pricing under this agreement may constitute discounts on the purchase of products, and must be properly reported and appropriately reflected as required by applicable law or contract.
5. 引渡し／DELIVERY
注文時に実施されている会社のプロモーションにより送料が無料となる注文を除き、購入者は、会社の倉庫から購入者の配送先までの製品の運送にかかる出荷料及び送料を全額負担するものとします。所有権及び危険負担は、会社が運送業者に製品を引き渡した時点で購入者に移転するものとします。購入者が、会社に注文した全ての製品について全額の支払いを怠った場合、購入者は、会社が未払額の徴収に要した弁護士報酬及び徴収手数料全額を別途支払うものとします。購入者は、本条件に定める製品を受領した時点で、本条件を受諾したものとします。
Purchaser shall assume responsibility for all delivery or shipping charges to transport the products from ZimVie's warehouse to Purchaser's shipping address except with respect to orders eligible for free shipping pursuant to ZimVie's promotions in effect at the time the order is placed. Title and risk of loss shall transfer to the Purchaser upon delivery of the products by ZimVie to the shipping carrier. If Purchaser fails to remit full payment for all products ordered from ZimVie, Purchaser shall be responsible for all additional legal and collections fees required to enable ZimVie to collect payment for any unpaid amounts. Purchaser's receipt of the products provided hereunder will constitute Purchaser's acceptance of these Terms of Sale.
6. 支払い／PAYMENT
支払条件は、請求書の「条件」の項に定めるとおりとします。請求書又は会社及び購入者間の書面による契約に支払条件の定めがない場合、請求書は、毎月20日締め翌月末払いとします。支払いは日本円建てで行うものとします。会社は、滞納金について、未払額の全額が支払われるまで月1.5％又は適用法により許容される最高率のいずれか低い方の利息を請求する権利を有します。購入者は、訴訟費用及び弁護士報酬を含み、会社が購入者からの滞納金の徴収に要した費用全額を会社に支払うものとします。
Payment terms shall be as set forth under the "Terms" section of the invoice. If no payment terms are specified in the invoice or in a written agreement between ZimVie and Purchaser, invoice will be closed on 20th every month and due at the end of the following month. Payment shall be made in Japanese Yen. ZimVie reserves the right to charge and collect interest on past-due accounts at a monthly rate of 1.5% or the highest rate permitted by applicable law, whichever is lower, on the unpaid balance until paid in full. Purchaser shall pay ZimVie all costs incurred by ZimVie in collecting any past-due account from Purchaser, including all court costs and attorney's fees.
7. 保証／WARRANTY
https://zimvie.co.jp/dental/warranty_policy/ より入手できる「歯科インプラント生涯保証プログラム」に明示の定めのある場合を除き、会社及びその関連会社のいずれも、自社製品が、仕様に従い材質及び/又は仕上がりに欠陥がないということを除き、明示又は黙示を問わず、一切の保証を行いません。当該保証は、製品の欠陥又は不適合を発見し、返品する前にこれを直ちに会社に通知した当初購入者に限り適用されます。機器については、返品する前に滅菌しなければなりません。製品の故障は、欠陥以外の様々な事由により生じることがあります。購入者は、単独使用又は他の製品との併用によるものかを問わず、これら製品の使用に起因して生じるあらゆるリスク及び責任を負うものとします。
EXCEPT AS EXPRESSLY SET FORTH IN THE "LIFETIME DENTAL IMPLANT WARRANTY PROGRAM" AVALABLE AT https://zimvie.co.jp/dental/warranty_policy/, NEITHER ZimVie NOR ANY OF ITS AFFILIATES MAKE ANY WARRANTY, EXPRESS OR IMPLIED, EXCEPT THAT ITS PRODUCTS SHALL BE FREE FROM DEFECTS IN MATERIAL AND/OR WORKMANSHIP ACCORDING TO THEIR SPECIFICATIONS. THIS WARRANTY APPLIES ONLY TO THE ORIGINAL PURCHASER, IN THE EVENT OF A PRODUCT DEFECT OR NONCONFORMANCE, WHO NOTIFIES ZIMVIE IMMEDIATELY UPON BECOMING AWARE OF THE DEFECT AND PRIOR TO RETURNING THE PRODUCT. DEVICES SHALL BE STERILIZED PRIOR TO RETURN. PRODUCT FAILURES MAY OCCUR FOR A VARIETY OF REASONS OTHER THAN DEFECT. PURCHASER ASSUMES ALL RISKS AND LIABILITY ARISING FROM THE USE OF THESE PRODUCTS, WHETHER USED SEPARATELY OR IN COMBINATION WITH OTHER PRODUCTS.
上記の明示の保証を除き、会社及びその関連会社のいずれも、明示又は黙示によると、書面又は口頭によるとを問わず、会社の製品についてその他一切の保証（これには、製品（又はその部品）の適合性、耐久性、設計、操作又は状態、製品性又は特定目的への適合性、また、製品に使用され又は含まれる著作権又はその他の財産権を含む特許権侵害が含まれますが、これらに限られません。）を行いません。
EXCEPT FOR THE WARRANTY EXPRESSLY DESCRIBED ABOVE, NEITHER ZIMVIE NOR ANY OF ITS AFFILIATES MAKES ANY OTHER WARRANTY WITH RESPECT TO THE ZIMVIE PRODUCTS, EXPRESS OR IMPLIED, WRITTEN OR ORAL, INCLUDING, WITHOUT LIMITATION, AS TO THE SUITABILITY, DURABILITY, DESIGN, OPERATION, OR CONDITION OF THE PRODUCTS (OR ANY COMPONENT THEREOF) OR THEIR MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR RELATING TO THE INFRINGEMENT OF ANY PATENT, COPYRIGHT, OR OTHER PROPRIETARY RIGHT USED OR INCLUDED THEREIN.
8. 申立て、返品及び交換／CLAIMS, RETURNS & EXCHANGES
購入者は、本条件に従い引渡しを受けた製品全てを検査するものとします。製品に不適合があった場合、購入者は、当該製品を受領してから20日以内にこの旨書面で申立てを行い、確認することのできる欠陥及び不適合は全て当該書面に詳述するものとします。これを怠った場合は、当該不適合について権利放棄を行ったものとみなします。いかなる場合も、書面による許可のなく会社への返品は認められません。購入者は、製品の不適合にかかる申立てを行っても、会社が書面によりこれを認める場合を除き、いずれの請求書についても減額を受けることはできません。会社は、欠陥又は不適合について確認した上、修理、交換、又は独自の裁量により認める当該欠陥又は不適合相当額の購入者へのクレジット又は払戻しを行うことができるものとします。日本の直販のお客様に限り、https://zimvie.co.jp/dental/return_exchange_policy/ から入手できる規則に従い、製品の返品及び/又は交換を行うことができます。
Purchaser shall inspect all products delivered pursuant to these Terms of Sale. Any claim for nonconformity of products must be made by Purchaser in writing within 20 days of receipt of such products, and all ascertainable defects and nonconformities shall be stated with particularity in such writing or be deemed waived. Under no circumstances shall products be returned to ZimVie without written permission. A claim that products are nonconforming shall not entitle Purchaser to deduct any sum from any invoice unless such claim has been allowed by ZimVie in writing. Upon verification by ZimVie of a defect or nonconformance, ZimVie may repair, replace or, in its sole discretion, credit or refund to Purchaser the amount so allowed with respect to such defect or nonconformity. 9. ライセンス、許可及び教育／LICENSES AND PERMITS; EDUCATION
購入者は、もっぱら自己の責任と費用において、本条件に基づく製品の使用に必要な許可、ライセンス又はその他政府の承認を適時に取得するものとします。会社及び購入者間に別段の合意のある場合を除き、本条件に基づき販売された製品は、もっぱら免許及び資格を有する歯科臨床医が日本で使用することを目的としたものです。会社は、インプラントの正規大学院教育を履修するとともに、会社のインプラント取扱説明書に記載する手続きを厳守することを強く推奨します。
The timely securing of permits, licenses or other governmental approvals required in connection with Purchaser’s use of any products hereunder shall be the sole responsibility of Purchaser and Purchaser shall bear the cost thereof. Unless otherwise agreed between ZimVie and Purchaser, products sold hereunder are only for use in Japan by licensed and qualified dental clinicians. ZimVie strongly recommends completion of formal post graduate implant education and strict adherence to the procedures described in ZimVie's implant instruction manuals.
10. 安全管理情報の収集及び提供／COLLECTION AND PROVISION OF SAFETY MANAGEMENT INFORMATION
製品の故障、副作用、感染症、品質の問題又は安全性にかかる通知を受けた場合、購入者は、可及的速やかに当該情報を会社に通知し、会社が、これについて、日本の医薬品、医療機器等の品質、有効性及び安全性の確保等に関する法律を含む関連法令に従い、厚生労働省及び独立行政法人医薬品医療機器総合機構に滞りなく報告を行うことができるようにするものとします。ただし、購入者が、報告製品にかかる事象が重要又は深刻であると認める場合は、これを直ちに会社に通知するものとします。
Upon receipt of information about a failure, adverse effect, infectious disease, or poor quality or safety of the products, Purchaser shall Provide ZimVie with such information as soon as practicable so that ZimVie may smoothly make a report thereon to the Ministry of Health, Labor and Welfare and the Pharmaceuticals and/or Medical Devices Agency as required pursuant to the relevant laws and regulations including the Pharmaceutical and Medical Device Act of Japan. Provided however that if Purchaser considers that any event relating to the products reported is important or serious, it shall immediately give the notice to ZimVie.
購入者は、日本の医薬品、医療機器等の品質、有効性及び安全性の確保等に関する法律などの適用法令に従い、報告書の作成及びその他の措置を講ずるため、会社の要求に応じて、当該製品が臨床に使用された日、引渡しを受けた製品の引渡日、種類及び製造ロット番号又はその他の当該製品引渡後の必要情報を提供するものとします。
Purchaser shall, upon request of ZimVie, provide the dates on which such products are used clinically or delivery dates, types and production lot numbers of the products delivered, or any other necessary information after delivery of such products for purposes of preparing reports and taking other actions in compliance with applicable laws and regulations including but not limited to the Pharmaceutical and Medical Device Act of Japan.
購入者は、会社の要求に応じ、製品のリコールなどの適切な措置を講じ、また、製品に対する安全措置の実施に際し医療機関に適正使用にかかる情報を提供するにあたり、全面的に会社に協力するものとします。
Upon request of ZimVie, Purchaser shall fully cooperate in taking appropriate measures such as the recall of the products and in supplying information on proper use to medical institutions in connection with the implementation of safety measures on the products.
11. 不可抗力／FORCE MAJEURE
会社は、自らの合理的支配の及ばない事由に起因する故障又は遅延により生じた損失又は損害については責任を負わないものとします。当該事由により故障又は遅延が生じた場合、引渡し及びその他の適切な条件を公正に変更します。当該故障又は遅延が、会社の義務の加重又は購入者による契約解除の事由となることは一切ないものとします。
ZimVie shall not be liable for any loss or damage due to failure or delay arising out of any cause beyond the reasonable control of ZimVie. In the event of any failure or delay resulting from such causes, an equitable adjustment of delivery and any other appropriate terms and conditions shall be made. No such failure or delay shall be the basis for an increase in ZimVie's obligations or any termination by Purchaser.
12.輸出規制／EXPORT RESTRICTIONS
購入者は、製品は、もっぱら日本で使用される目的で設計されたものであり、会社の事前の書面による許可（返還許可書の書式による。ただし、製品が当該書面に指定する住所宛てに返還される場合に限られます。）なく、日本国外への輸出、再輸出、輸送、手荷物としての運送又は移送はできないことを確認します。購入者は、米国商務省の輸出管理規則、日本の外国為替及び外国貿易法、その他あらゆる製品の輸出、輸送、再輸出及び輸入に関連する適用法令、条約及び契約を遵守するものとします。購入者は、適用される輸出入管理関連法令に関する公式又は非公式の監査又は検査を行うにあたり、全面的に会社に協力し、購入者、その従業員、コンサルタント又は代理人による本条の違反について会社に対し補償し、会社に何らの損害も与えないものとします。
Purchaser acknowledges that the products are intended and designed to be used solely in Japan and may not be exported, re-exported, shipped, hand-carried or otherwise transported outside of Japan without the prior written permission of ZimVie (which may be in the form of a Returns Authorization form so long as products are returned to the designated address on such form). Purchaser shall comply with the Export Administration Regulations of the U.S. Department of Commerce, Foreign Exchange and Foreign Trade Act of Japan, and all other applicable laws, regulations, treaties, and agreements relating to the export, transport, re-export, and import of any product. Purchaser shall cooperate fully with ZimVie in any official or unofficial audit or inspection related to applicable export or import control laws or regulations, and shall indemnify and hold ZimVie harmless from, or in connection with, any violation of this Section by Purchaser or its employees, consultants, or agents.
13.会社に対する補償／INDEMNIFICATION OF ZIMMER BIOMET
購入者は、(i) 購入者、その代理人、従業員、代表者若しくは下請業者の過失、違反若しくは故意、(ii) 会社から支給されたもの以外の機器若しくはソフトウェアと製品との併用、(iii) 設計目的とは異なる若しくは規制当局から承認されていないアプリケーション若しくは環境における製品の使用、(iv) 会社の事前の書面による承諾なく会社以外の者が行った製品の改変、(v) 会社の部品若しくは製品が原材料若しくは部品として組み込まれた第三者製造品に関する製造物責任に基づく請求、又は(vi) 購入者、その代理人、従業員、代表者若しくは下請業者によるあらゆる適用法令違反に起因して又はこれに関連して生じた限りにおいて、第三者から申立てのあった損害、責任、法的措置、訴因、訴訟、請求、要求、損失、費用及び経費（合理的弁護士報酬及び訴訟費用が含まれますが、これらに限られません。）の全てについて補償し、防御し、会社、その関連会社、これら各々の役員、取締役、株主及び従業員に何らの損害も与えないものとします。
Purchaser shall indemnify, defend and hold harmless ZimVie, its affiliates, and their respective officers, directors, shareholders and employees, from and against any and all damages, liabilities, actions, causes of action, suits, claims, demands, losses, costs and expenses (including without limitation reasonable attorneys' fees and court costs) brought by third parties to the extent arising from or in connection with: (i) the negligence or unlawful or willful misconduct of Purchaser, its agents, employees, representatives or contractors; (ii) use of a product in combination with equipment or software not supplied by ZimVie; (iii) use of a product in an application or environment for which it was not designed or approved by regulatory authorities; (iv) modifications of a product by anyone other than ZimVie without ZimVie's prior written approval; (v) product liability claims regarding third party manufactured goods incorporating a ZimVie part or product as a raw material or component; or (vi) failure of Purchaser, its agents, employees, representatives or contractors to fully comply with all applicable laws and regulations.
14. 責任の制限／LIMITATION OF LIABILITY
会社又はその関連会社のいずれも、会社が損害発生の可能性について事前に知らされていた場合であっても、事業の中断、利益の損失、又は特別の、間接的、付随的若しくは派生的損害について、その性質及び原因（契約、保証、不法行為（過失を含みます。）又はその他の法理論に基づくものか否かを問いません。）にかかわらず、いかなる場合も一切責任を負わないものとします。
UNDER NO CIRCUMSTANCES SHALL ZIMMER BIOMET OR ANY OF ITS AFFILIATES BE LIABLE FOR BUSINESS INTERRUPTION, LOSS OF PROFITS, SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY NATURE AND FROM ANY CAUSE WHETHER BASED IN CONTRACT, WARRANTY OR TORT (INCLUDING NEGLIGENCE) OR OTHER LEGAL THEORY, EVEN IF ZIMMER BIOMET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15. 秘密保持義務／CONFIDENTIALITY
本条件の両当事者は、相手方当事者の事業に関連する情報及び資料、又は相手方当事者が、本条件その他において専有情報又は秘密情報であると特定する情報及び資料を極秘に取り扱うものとします。本条件に定める条件及び価格設定は秘密とし、法律の規定により要求される場合を除き、会社の事前の書面による同意なく、民間の第三者と共有してはならないものとします。
The parties hereto shall hold in strictest confidence any information and materials that are related to the business of the other party hereto or are designated by any such party as proprietary and confidential, herein or otherwise. The terms and pricing set forth herein are confidential and must not be shared with any non-governmental third party without the prior written consent of ZimVie unless required by operation of law.
16. 有効性／VALIDITY
本条件のいずれかの条項が、何らかの点において違法又は執行不能と判断された場合、当該違法性及び執行不能性の影響は、本条件の他の条項に及ぶことはなく、当該残存条項は全て、各々の条件に従い引き続き執行可能であるものとします。
If any provision of these Terms of Sale is found to be illegal or unenforceable in any respect, such illegality or unenforceability shall not affect any other provision of these Terms of Sale, all of which shall remain enforceable in accordance with their terms.
17. 一般条項／GENERAL PROVISIONS
製品の購入及び本条件は、国際私法の原則が適用されることなく、日本法に準拠するものとします。国際物品販売契約に関する国際連合条約は、本条件には適用されません。本条件は、両当事者間のあらゆる口頭及び書面による表明事項が組み込まれた、本条件の目的事項に関する両当事者の完全なる合意及び了解事項とし、当該目的事項にかかる両当事者間の口頭又は書面による、その他の合意事項に優先するものとします。購入者は、会社の事前の書面による同意なく、本条件に基づく義務を委託し又は権利若しくは請求権を譲渡することはできないものとし、当該委託又は譲渡を試みても、当該行為は無効とします。管轄裁判所が、本条件の1つ又は複数の条項を、何らかの点において無効、違法又は執行不能と判断した場合、売買契約を著しく変更する修正が行われない限り、本条件の残存条項は引き続き有効、適法及び執行可能とします。会社が、本条件の条項を執行しなかった場合又は当該条項の違反について権利放棄を行った場合であっても、他の違反又は当該条項の権利放棄が行われたことにはなりません。本条件の修正又は変更を行うには、権限ある代表者又は会社が適法に作成した書面によらなければなりません。
The purchase of the products and these Terms of Sale are governed by the laws of Japan, without regard to conflicts of law principles. The U.N. Convention on the International Sales of Goods is not applicable to these Terms of Sale. This document incorporates all oral and written representations between the parties and constitutes the entire agreement and understanding of the parties with respect to the subject matter hereof and supersedes any and all other agreements, either oral or written, between the parties with respect to such subject matter. Purchaser may not delegate any duties nor assign any rights or claims hereunder without ZimVie's prior written consent, and any such attempted delegation or assignment shall be void. In the event that any one or more provisions contained herein shall be held by a court of competent jurisdiction to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions contained herein shall remain in full force and effect, unless the revision materially changes the bargain. ZimVie's failure to enforce, or ZimVie's waiver of a breach of, any provision contained herein shall not constitute a waiver of any other breach or of such provision. No amendment or modification may be made to this document unless in writing and duly executed by an authorized representative or ZimVie.
警告： 日本の医薬品、医療機器等の品質、有効性及び安全性の確保等に関する法律により、これらの機器の販売は、資格を有する医療関係者による場合又はその指示による場合に限られています。「STERILE（滅菌）」のラベルの付いた機器は、滅菌パッケージが開封され又は破損している場合を除き、滅菌済みであることが保証されています。
Caution: The Pharmaceutical and Medical Device Act of Japan restricts these devices to sale by or on the order of a licensed healthcare practitioner. Devices labeled “STERILE” are certified to be sterile unless sterile package is opened or damaged.
